If a dispute cannot be resolved through informal negotiations, it will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), except where otherwise required by law.

If any dispute proceeds in court rather than arbitration, it must be brought in the state and federal courts located in Miami Dade, Florida, and the parties consent to venue and jurisdiction there.
